General Terms and Conditions
1. Scope of Application
These General Terms and Conditions (GTC) apply to all contracts concluded between Alexander Lutsyuk, operating under "Algoran / e-rechn.de", Dr. Alban Str. 24, 19395 Plau am See, Germany ("Provider") and its customers ("Customer").
2. Services
The provider offers a web-based service for converting PDF invoices into EU-compliant e-invoices (hybrid PDF/A-3 with embedded XML according to ZUGFeRD standard). The exact scope of services results from the respective service description on the website.
Free Trial Use
The first invoice conversion is free. Further uses may be subject to a fee, unless otherwise stated.
Important Notice on AI Accuracy
⚠️ CRITICAL NOTICE: Automated Data Extraction
This service uses AI technology for automated data extraction from PDF invoices. AI systems are not 100% accurate and may make errors in recognizing amounts, dates, tax rates, or other critical information.
User Verification Obligation
The user is solely responsible for reviewing and verifying the accuracy and completeness of all extracted data before using the generated e-invoice for accounting, tax, or business purposes. The provider does not guarantee the accuracy of extracted data or the generated e-invoice.
Disclaimer for Data Errors
The provider is not liable for damages arising from incorrectly extracted data, including but not limited to: incorrect invoice amounts, faulty tax calculations, wrong dates, missing or incorrect VAT IDs, IBANs, or other identifiers. The user bears the full risk of using automatically extracted data.
3. Conclusion of Contract
A contract is concluded by using the service. By uploading a PDF invoice and providing an email address, the customer declares their agreement with these GTC and the privacy policy.
4. Prices and Payment Terms
The current prices are shown on the website. All prices are net prices according to § 19 UStG (small business regulation). Payment is made after invoicing by bank transfer, unless otherwise agreed.
5. Customer's Duties to Cooperate
The customer undertakes:
- To upload only invoices that they are authorized to process
- To provide a valid email address
- To check uploaded files for malware
- Not to misuse the service (e.g., overload through mass requests)
6. Rights of Use
Upon full payment, the customer receives the non-exclusive rights of use necessary for the contractual purpose. The converted invoice can be used by the customer without restriction. Source codes or technical details of the conversion process are not part of the scope of services unless otherwise agreed.
7. Liability
The provider is liable:
- Without limitation for intent and gross negligence
- For slight negligence only for breach of essential contractual obligations and limited to the typical, foreseeable damage
- Liability for slight negligence for non-essential contractual obligations is excluded
Technical Availability and Service Outages
The provider strives for high service availability but cannot guarantee 100% uptime. The service may be temporarily unavailable due to maintenance, technical issues, server failures, or other unforeseen circumstances.
Disclaimer for Service Outages
The provider is not liable for damages arising from service unavailability, including but not limited to: lost profits, delayed invoicing, late fees, interest charges, or other consequential damages. The user bears the risk of dependency on service availability.
Processing Errors and Technical Issues
The provider is not liable for damages arising from technical errors in PDF processing, conversion failures, data loss during processing, or other technical issues. The user is obligated to verify generated e-invoices before use.
8. Data Protection
The processing of personal data is carried out in accordance with the GDPR. Details see Privacy Policy. The customer acknowledges that:
- All data is processed exclusively in memory
- There is no permanent storage of invoice data
- All temporary data is deleted immediately after processing
- The servers are located in Germany
Data Processing Agreement (DPA)
Since the provider processes personal data on behalf of the customer, a Data Processing Agreement (DPA) according to Art. 28 GDPR is required. The customer can view and accept the DPA at <a href={`/${lang}/avv`}>e-rechn.de/avv</a>.
Technical and Organizational Measures (TOMs)
The provider implements appropriate technical and organizational measures to protect data, including:
- SSL/TLS encryption for all data transmissions
- Secure server infrastructure in Germany
- Regular security updates and monitoring
- Access restrictions and authentication
- Automatic deletion of all temporary data
However, absolute security cannot be guaranteed. The user bears the risk of transmitting sensitive data.
9. Right of Withdrawal
Consumers have a right of withdrawal of 14 days. Details and sample withdrawal form see Right of Withdrawal.
10. Warranty
The provider warrants that the converted invoices comply with the ZUGFeRD standard and can be processed by common e-invoicing systems. In case of defects, the customer is initially entitled to rectification. If rectification is not possible or fails, the customer can demand reduction or withdrawal at their choice.
11. Final Provisions
Applicable Law: German law applies.
Place of Jurisdiction: If the customer is a merchant, the place of jurisdiction is Schwerin, Germany.
Severability Clause: Should individual provisions of these GTC be ineffective, the validity of the remaining provisions remains unaffected.
